Canada’s Fairfax Financial Holdings to buy Andrew Peller wine group

Fairfax Financial Holdings has agreed to acquire Canadian wine group Andrew Peller in a deal valuing the business at CAD$579m (US$413.7m).

The deal, which would take Toronto Stock Exchange-listed Andrew Peller private, is subject to shareholder approval but has been “unanimously recommended” by the board and a special committee of independent directors. Shareholder John Peller will remain invested in his family’s business, exchanging his shares for an ownership stake in a newly-formed Fairfax subsidiary. 

CEO Paul Dubkowski and CFO Renee Cauchi will continue in their current roles once the deal is complete. “The rest of Andrew Peller’s current leadership team is also expected to continue in their current roles,” the Ontario-based company said in a statement this week.

“This agreement represents a compelling outcome for our shareholders, delivering immediate value and certainty while reflecting the strength of Andrew Peller’s portfolio and market position,” said Dubkowski. “Importantly, we believe Fairfax is the right long-term partner for the company. Their investment approach, financial strength and long-term orientation provide a strong foundation to continue building our business and supporting the ongoing growth of the Canadian wine industry.

The Trius brand owner also announced its full-year and fourth-quarter results today (17 June), but cancelled an accompanying investor call due to the M&A announcement. In its fiscal 2026, Andrew Peller posted flat sales (+0.9%) on the corresponding 12-month period at CAD$393m (US$280.71m). The performance was aided by a 5.3% to-line lift in the fourth quarter.
